Partner programme: offer

1. Terms and parties

1.1. The Company — POINT OF TRUE LEISURE CO., LTD. (trading as Thailand U Tour), Tax ID 0835568007180, TAT licence 34/03702, address: 21/1 Luang Pho Chuan Road, Karon, Mueang Phuket, Phuket 83100, Thailand.
1.2. The Partner — an individual, author of a blog or channel, who accepted this offer under section 2.
1.3. A Client — a person who submits a request or books an excursion with the Company.
1.4. The Cabinet — the “Partner programme” section of the “My Trip” app (Telegram, @thailandutourbot).
1.5. The Link — the Partner's personal link and QR code issued by the Company: to the site thailandutour.com and to the bot @thailandutourbot.
1.6. An Accrual — the Partner's remuneration for one booking.

2. How the offer is accepted

2.1. The Partner accepts the offer by ticking “I accept the terms” in the application form in the Cabinet and submitting it. This is acceptance within the meaning of the Civil and Commercial Code of Thailand; the electronic tick is recognised as a signature under the Electronic Transactions Act B.E. 2544.
2.2. The agreement takes effect when the Company approves the application and says so in the bot. The Company may decline an application without giving reasons.
2.3. The Company stores the date and version of the accepted offer, the Telegram identifier and the application data; they serve as evidence that the agreement was concluded.
2.4. By accepting, the Partner confirms that they are at least 18 years old and legally capable, and run the stated blog or channel themselves.
2.5. The agreement is non-exclusive: the Partner may work with other companies, and the Company with other partners.

3. Who the Partner is

3.1. The Partner is an independent person. They are not an agent, representative or employee of the Company, and not a travel agent or tour operator within the meaning of Thailand's Tourism Business and Guide Act B.E. 2551.
3.2. The Partner does not conclude deals on the Company's behalf, does not take money from Clients, does not confirm bookings, does not promise discounts, “special prices” or terms that are not on the site, and does not present themselves as the Company's employee.
3.3. Everything to do with selling, confirming, payment, running the excursions and communicating with Clients is done by the Company.

4. The Link and attribution of Clients

4.1. A Client is attributed to the Partner if they opened the Partner's Link on the site or in the bot, or scanned the QR code, and within 90 days after that submitted a request or booked an excursion.
4.2. The last link wins: a Client who followed links of several partners is attributed to the one whose link was opened last.
4.3. Repeat bookings of an attributed Client count for the Partner for 12 months from the date of that Client's first booking.
4.4. A Client who came without a Link may be attributed to the Partner manually if the Client names them as the source. The Company decides.
4.5. Attribution is determined from the data of the Company's systems (site, bot, CRM). That data is sufficient evidence; the Partner may raise a question about a specific booking, and the Company answers within 10 working days.
4.6. Bookings by the Partner's family and friends count as usual. Only the Partner's own bookings for themselves do not count.

5. Remuneration

5.1. The remuneration is 5 % of the amount the Client actually paid the Company for the excursion. The rate is shown in the Cabinet. The Company may set an individual rate for a Partner; a rate change applies to bookings created after the change and does not recalculate what has already been accrued.
5.2. Transfer surcharges, extra services added to the booking, third-party services and amounts refunded to the Client are excluded from the base.
5.3. An Accrual is calculated in Thai baht and rounded to the whole baht.
5.4. The Company reimburses nothing beyond the remuneration: advertising, filming and materials are paid for by the Partner.

6. Accrual and cancellations

6.1. The right to remuneration arises when the booking has been paid in full and the excursion has taken place. The Accrual appears in the Cabinet the day after the excursion date. Until then the amount is shown as expected and may change together with the payment.
6.2. If the excursion date is moved, the Accrual moves with it. If part of the amount is refunded to the Client, the base is reduced by the refunded part.
6.3. If the booking is cancelled or the money is refunded to the Client, the Accrual is removed. Payouts are made only for excursions that have taken place, so amounts already paid out are not revisited.

7. Payouts

7.1. Payouts are made once a month, on the 1st, for the previous month's accruals. The first payout has no minimum. After that, if less than 1,000 ฿ has accrued, the amount carries over to the next month.
7.2. The Partner chooses the payout method in the Cabinet: in rubles by an SBP transfer to the Partner's account at a Russian bank, or in Thai baht — to PromptPay, to a bank account in Thailand, or in cash at the Company's office in Phuket.
7.3. A payout in rubles is calculated at the Company's exchange rate on the payout date; the ruble amount and the rate are communicated to the Partner together with the payout. The recipient bank's fees are borne by the Partner.
7.4. The Partner is responsible for the accuracy of the payment details. If they are missing or wrong, the payout is postponed until corrected; accrued amounts are not lost.
7.5. The Cabinet is the statement of accruals and payouts. Objections to a month's statement are accepted within 30 days after the 1st; after that the statement is deemed accepted.

8. The Cabinet, Client data and Partner data

8.1. In the Cabinet the Partner sees, for each Client, only an initial and an anonymised number, the excursion name, the date and the accrual status. Clients' names, phone numbers and correspondence are not shared with the Partner: they are protected by Thailand's Personal Data Protection Act (PDPA, B.E. 2562).
8.2. The Partner does not collect Clients' personal data on the Company's behalf and does not pass third parties' data to the Company without their consent.
8.3. The Company processes the Partner's data (name, contacts, Telegram identifier, blog link, payment details) to perform the agreement and make payouts, and keeps it while the agreement is in force and for 3 years after termination. Details are in the Privacy Policy on the site.
8.4. Rates, statistics and internal programme materials are confidential: the Partner does not publish them without the Company's consent.

9. Promotion rules

9.1. The Partner talks about the excursions in their own publications and places the Link or QR code in the profile description, posts, stories and videos.
9.2. Not allowed: paid search and social ads on queries containing the names Thailand U Tour, U TOUR, “Ю Тур” or the Company's domains; placing the Link on coupon and cashback platforms; mailings without the recipients' consent; registering domains, accounts or pages that could be mistaken for the Company; promising Clients discounts, a share of the remuneration or terms that are not on the site; false statements about the excursions; clicks and bookings for which a follower is promised payment or a gift, and fake bookings; placing the Link next to unlawful material.
9.3. The Partner complies with the advertising laws and platform rules that apply to their audience, including an advertising or affiliate-link disclosure where required. The Company provides, on request, the information needed for such a disclosure.
9.4. In case of a breach the Company may suspend the Link, remove unpaid accruals for bookings obtained through the breach, and terminate the agreement (section 12).

10. Materials, name and publications

10.1. The Company grants the Partner a non-exclusive, royalty-free, revocable right to use the photos, texts and logo from the partner materials, unmodified, to recommend excursions for the term of the agreement.
10.2. The Partner allows the Company to place their name or handle, blog link, profile photo and the “about me” text from the Cabinet on their personal page thailandutour.com/p/ and to mention them in the partner channel. The Partner may change this data in the Cabinet or ask for the page to be removed.
10.3. The Partner allows the Company to share their public posts about the Company's excursions (repost, quote) with credit to the author.
10.4. The Partner publishes in their own name and is responsible for the accuracy of their publications. The Company may ask to correct or remove a publication that misleads Clients; the Partner does so within 2 days.

11. Liability

11.1. The Company is liable to Clients for the excursions. The Partner is liable for the content of their publications and compensates the Company for documented losses caused by inaccurate statements in them, a breach of law or of third-party rights.
11.2. The Company does not guarantee the Partner any volume of requests, bookings or income.
11.3. The Partner independently complies with the requirements of the laws of their own country and country of residence relating to the remuneration received.
11.4. The Company's liability to the Partner under this agreement is limited to the remuneration accrued to the Partner over the last 6 months. The limit does not apply in case of wilful misconduct.
11.5. A party is not liable for non-performance caused by force majeure (natural disasters, epidemics, acts of authorities, failures of communication networks and payment systems) for as long as it lasts.

12. Suspension and termination

12.1. On reasonable suspicion of a breach the Company may suspend the Link for the duration of a review, no longer than 30 days, notifying the Partner in the bot. Accruals for that period are kept if the breach is not confirmed.
12.2. Either party may terminate the agreement at any time by notifying the other in the bot or by e-mail. From the date of notice no new Clients are attributed; Clients attributed earlier count until the end of their period (section 4), and accrued amounts are paid in the usual way.
12.3. The Company may close the Cabinet of a Partner who has had no bookings for 12 consecutive months, giving 14 days' notice.
12.4. After termination, accrued amounts remain payable for 12 months provided payment details are available.

13. Changes to the terms

13.1. The Company may change the offer by notifying the Partner in the bot and publishing the new revision on the site with its date at least 14 days before it takes effect. Continued participation after that date means acceptance of the new revision; a Partner who disagrees may terminate the agreement before that date.
13.2. A change of an individual Partner's rate is communicated in the bot and applies to bookings created after the change.

14. Notices

14.1. The parties communicate via the bot @thailandutourbot, the Cabinet and e-mail info@thailandutour.com. A message is deemed received on the day after it is sent.
14.2. The Partner keeps their contacts and payment details in the Cabinet up to date.

15. Law, disputes, miscellaneous

15.1. Thai law applies.
15.2. Disputes are first resolved by negotiation within 30 days of a written request; anything not resolved that way goes to the competent court of Phuket province.
15.3. The offer is published in Russian and English; in case of discrepancies the English version prevails.
15.4. The Partner may not assign their rights under the agreement without the Company's consent.
15.5. If any provision is held invalid, the rest remains in force.
15.6. Sections 6–8, 11 and 15 survive termination of the agreement.
